Terms of Service

These Terms of Service ("Terms") are an agreement between you and Unkra Inc. ("Crosscut," "we," "us," or "our"), a corporation incorporated under the laws of the Province of Ontario, Canada, with its registered office at 1809-400 Walmer Rd, Toronto, ON M5P 2X7, Canada. These Terms govern your access to and use of the Crosscut iOS application, its home-screen widgets, and the crosscutfinance.com website (together, the "Service").

BY DOWNLOADING, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Description of the Service

Crosscut is a personal finance and portfolio-tracking application for iOS. It lets you build watchlists of stocks and exchange-traded funds ("ETFs"), track market data and company fundamentals, and, if you choose, connect bank and brokerage accounts through our third-party account-linking provider to view a consolidated picture of your holdings — including a "look-through" view that shows the underlying companies inside funds you hold. You may also manually enter and track a portfolio without connecting a financial institution.

Crosscut is a self-directed research and tracking tool. It does not manage assets, execute trades, or provide brokerage, custodial, or advisory services of any kind.

2. Eligibility

You must be at least 18 years old and a resident of the United States or Canada to create an account or use the Service. By using the Service, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms. The Service is not directed to, and must not be used by, anyone under 18.

3. Accounts

3.1 Creating an account

You create a Crosscut account using an email address verified by a one-time passcode, or a passkey, through our authentication provider. You are responsible for all activity under your account and for keeping your device and sign-in method secure.

3.2 Accuracy of information

You agree to provide accurate information when creating your account and to keep it current. You may change the email address on your account from within the app (Settings → Change Email) after verifying it's you and confirming the new address with a one-time passcode.

3.3 One account per person

Each individual may maintain only one Crosscut account.

3.4 Passkeys

You may register or revoke passkeys for your account at any time from within the app (Settings → Passkeys). Passkey private keys never leave your device's secure hardware; we only store the corresponding public key with our authentication provider.

3.5 Account deletion

You may permanently delete your account and all associated data at any time from within the app (Settings → Delete Account). This is irreversible. See our Privacy Policy for what deletion does and does not remove.

4. Linking Financial Accounts

4.1 Third-party provider

If you choose to connect a bank or brokerage account, you do so through Plaid Inc. ("Plaid"), a third-party account-aggregation service. Linking is subject to Plaid's own terms and privacy practices, and to the terms of your financial institution. Crosscut never receives your online-banking username or password — those credentials are entered directly with Plaid or your institution.

4.2 Read-only access

Linking a financial account through Crosscut is read-only. Crosscut cannot move money, place trades, or make any changes to your linked accounts.

4.3 Accuracy of third-party data

Account balances, holdings, and transaction data displayed in Crosscut are supplied by Plaid and your financial institutions and may be incomplete, delayed, or inaccurate. Crosscut is not responsible for errors or omissions in data supplied by these third parties.

4.4 Manually-tracked accounts

You may also enter holdings by hand without linking an institution. You are solely responsible for the accuracy of any information you enter manually.

4.5 Disconnecting

You may disconnect a linked account at any time within the app; doing so deletes the associated holdings data we store, as described in our Privacy Policy.

5. Subscriptions and Payment

5.1 Free and Pro tiers

Crosscut offers a free tier and a paid subscription tier ("Crosscut Pro") that unlocks the ability to link financial accounts, at the price displayed in the app and on our website at the time of purchase.

5.2 Billing through Apple

Subscriptions are billed and managed exclusively through Apple's In-App Purchase system. Payment, automatic renewal, price changes, refunds, and cancellation are governed by Apple's Media Services Terms and App Store billing policies, not by Crosscut directly. To manage or cancel your subscription, use your device's App Store subscription settings.

5.3 No refunds from Crosscut

Because billing is handled entirely by Apple, Crosscut does not process refunds directly. Refund requests must be made to Apple in accordance with Apple's policies.

5.4 Changes to pricing or features

We may change the features included in each tier, or the price of Crosscut Pro, on a going-forward basis. Any change to the price of an active subscription will be presented to you by Apple before it takes effect.

7. Intellectual Property

7.1 Our property

The Service, including its software, design, text, graphics, logos, and the "Crosscut" name and marks, is owned by Crosscut or our licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, we grant you no rights in our intellectual property.

7.2 Your data

As between you and Crosscut, you retain ownership of the data you provide (such as manually-entered holdings and watchlists). You grant us a limited license to use that data solely to operate and provide the Service to you.

7.3 Third-party data

Market data, company fundamentals, analyst ratings, and similar information displayed in the Service are licensed from third-party data providers and remain their property. You may not redistribute or resell this data.

8. Disclaimers

8.1 Not financial advice. CROSSCUT IS A TRACKING AND RESEARCH TOOL ONLY. NOTHING IN THE SERVICE CONSTITUTES INVESTMENT, FINANCIAL, TAX, ACCOUNTING, OR LEGAL ADVICE, OR A RECOMMENDATION OR SOLICITATION TO BUY, SELL, OR HOLD ANY SECURITY. CROSSCUT IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR FINANCIAL INSTITUTION. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN INVESTMENT DECISIONS. CONSULT A QUALIFIED FINANCIAL, TAX, OR LEGAL PROFESSIONAL BEFORE MAKING FINANCIAL DECISIONS.

8.2 Market data. QUOTES, CHARTS, FUNDAMENTALS, HOLDINGS DATA, AND OTHER MARKET INFORMATION DISPLAYED IN THE SERVICE MAY BE DELAYED, ESTIMATED, INCOMPLETE, OR INACCURATE, AND ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. CROSSCUT DOES NOT GUARANTEE THE ACCURACY, TIMELINESS, OR COMPLETENESS OF ANY DATA DISPLAYED.

8.3 "As is." THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CROSSCUT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Crosscut and its officers, directors, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Term and Termination

11.1 By you

You may stop using the Service and delete your account at any time (Settings → Delete Account in the app).

11.2 By us

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms or engaged in fraudulent or unlawful activity, or if required to do so by law.

11.3 Effect of termination

Upon termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination — including Sections 7 through 10 and 13 — will survive.

12. Changes to the Service or These Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms from time to time; if we make material changes, we will provide reasonable notice (such as an in-app notice or an update to the "Last updated" date above). Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction of those courts.

14. Miscellaneous

14.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Crosscut regarding the Service.

14.2 Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

14.3 No waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Apple-specific terms

If you downloaded the app from the Apple App Store, you acknowledge that these Terms are between you and Crosscut only, not Apple, and Apple has no obligation to provide support for the Service. Apple is a third-party beneficiary of these Terms as they relate to your use of the app and may enforce them against you.
